This Subscriber Agreement (“Agreement”) is entered into between Investing Analytics LLC, doing business as Forward Portfolio (“Forward Portfolio,” “Company,” “we,” or “us”) and the individual or entity accessing or using the Service (“Subscriber” or “you”).

Forward Portfolio provides an exclusively educational platform for learning about securities portfolios and financial analytics. The Service does not facilitate, execute, or intermediate securities transactions of any kind. By accessing or using the Platform or Service, you agree to be legally bound by this Agreement, including our Privacy Policy and Cookie Policy, both of which are incorporated herein by reference. If you do not agree to all terms, you are not authorized to use the Service.

1. INTRODUCTION AND ACCEPTANCE

The Service is made available to you on the condition that you accept all terms and conditions outlined in this Agreement. By clicking “Agree” on the Forward Portfolio website or by using the Service for the first time, you acknowledge that you have read, understood, and agreed to these Terms, the Privacy Policy, and the Cookie Policy. Your access and use of Forward Portfolio constitute your consent to these terms. If you do not agree, you must immediately discontinue use of the Service.

2. DEFINITIONS

For clarity, the following terms are defined for purposes of this Agreement:

• “Forward Portfolio” refers to Investing Analytics LLC.
• “Information” includes all data, analytics, reports, simulations, educational materials, and other content provided through the Service.
• “Information Providers” are third-party sources of Information distributed via the Service.
• “Intellectual Property” includes trademarks, service marks, trade names, corporate names, copyrightable materials, software, and other proprietary information of Forward Portfolio or Investing Analytics LLC.
• “Forward Portfolio Software” includes all software, applications, code, tools, dashboards, simulations, and related technology used to deliver the Service, including the website, mobile apps, cloud systems, APIs, and any updates or modifications. Your use is limited to educational purposes only, non-exclusive, and non-transferable.
• “Person” refers to any natural person or legal entity.
• “Subscriber” or “you” refers to any person or entity accessing the Service under this Agreement.
• “Educational Purpose” means use of the Service solely for learning about securities markets, financial analytics, and investment concepts. It explicitly excludes actual trading or advice-seeking behavior.
• “Platform” refers collectively to the Forward Portfolio website, web and mobile applications, and any related software interfaces used to deliver the Service.

3. SYSTEM AND SERVICE

Forward Portfolio is designed as an educational platform. While we provide detailed analytics tools, educational simulations, and market data, the Service does not constitute investment advice, and we are not registered as a broker-dealer or investment adviser under federal or Hawaii law.

You are responsible for maintaining internet connectivity and hardware sufficient to access the Service. We may update or modify the Service at any time. Material modifications will be communicated with at least 30 days’ notice, while non-material updates may occur without prior notice.

By using the Service, you acknowledge and agree that the Service is intended solely for educational purposes. Any reliance on the Information for actual investment decisions is at your own risk, and Forward Portfolio assumes no responsibility for any resulting gains or losses.

4. INTELLECTUAL PROPERTY RIGHTS

All software, content, and trademarks provided through the Service remain the sole property of Forward Portfolio and Investing Analytics LLC. You are granted a limited, non-exclusive license to access the Service for educational purposes. You may not copy, decompile, reverse engineer, modify, distribute, or create derivative works from Forward Portfolio Software.

Information Providers may enforce this Agreement as intended third-party beneficiaries, and you agree not to infringe the proprietary rights of any party.

5. SUBSCRIBER RESPONSIBILITIES

Subscribers agree to use the Service only for lawful educational purposes. You may not share accounts, redistribute Information, or create financial products based on Forward Portfolio content without written permission.

You are responsible for maintaining account confidentiality and notifying Forward Portfolio promptly of any unauthorized use. All account activity, including that of authorized third parties, is your responsibility.

Subscribers must provide accurate and current information. Failure to do so may result in suspension or termination.

6. SUBSCRIPTION AND PAYMENT TERMS

Access to the Service may require payment of subscription fees as displayed on our website. Fees may change with 30 days’ notice, and continued use constitutes acceptance.

Payments may be made via:

• Credit cards (Visa, MasterCard, AMEX)
• PayPal
• ACH or Wire transfers (for corporate accounts)

By subscribing, you authorize Forward Portfolio to charge your selected payment method on a recurring basis. Sensitive payment data is managed securely by third-party processors (credit card networks or PayPal), and we do not store full payment credentials. All fees are non refundable except in cases of material breach.

7. TERM AND TERMINATION

This Agreement begins upon acceptance and continues for the duration of your subscription. It automatically renews unless canceled with at least 30 days’ notice before the end of a renewal period.

Forward Portfolio may terminate this Agreement for violations, misrepresentations, or illegal activity, with notice provided as described herein. Subscribers may terminate in cases of Forward Portfolio breach, subject to a 15-day cure period.

8. DISCLAIMERS AND LIMITATIONS

The Service is provided “as-is” for educational purposes only. It is not investment, financial, or trading advice. Forward Portfolio assumes no liability for errors, omissions, or any investment decisions based on the Service. Liability for direct damages is limited to prepaid subscription fees for the affected period.

You agree to indemnify Forward Portfolio and its affiliates against claims arising from misuse or breach of this Agreement.

9. GENERAL PROVISIONS

This Agreement constitutes the entire understanding between the parties and supersedes all prior communications. Any amendments require notice and acceptance. Disputes are subject to binding arbitration in Honolulu, Hawaii, and class actions are waived unless you opt out within 30 days of first acceptance.

10. PRIVACY AND DATA SECURITY

Forward Portfolio respects your privacy. We collect data you provide (name, email, payment info) and usage data (IP, device info, session activity). Data is used to provide, maintain, and improve the Service, process payments, manage accounts, and comply with law.

We may share data with trusted third-party processors (e.g., PayPal, cloud hosts) under confidentiality agreements. Security measures include encryption, access controls, multi-factor authentication, and regular testing.

In the event of a data breach, affected subscribers and authorities will be notified within 45 days, as required by Hawaii law. Data is retained only as needed for service, legal compliance, or dispute resolution. You have rights to access, correct, delete, restrict, or port your personal data by contacting support@forwardportfolio.com.

11. COOKIE POLICY

Cookies are used for authentication, session management, analytics, and service functionality. You may manage cookie preferences through your browser. Disabling cookies may limit Service functionality. We do not sell personal data or behavioral profiles without explicit consent.

By accessing or using Forward Portfolio, you acknowledge that you have read and agreed to all Terms & Conditions, the Privacy Policy, and the Cookie Policy, and that you understand the Service is for educational purposes only.
